Terms of Service

Welcome to Soluit.app (hereinafter, the "Service"), operated by SoluitCR (hereinafter, the "Company", "we", or "our"), headquartered in Alajuela, Costa Rica. By accessing or using the Service, you agree to these Terms of Service in their entirety.
1. Acceptance of Terms
By creating an account, accessing, or using any Soluit.app product (including SmartRest Elite and SmartPOS), you acknowledge that you have read, understood, and agree to these Terms. If you do not agree with any of the provisions herein, you must not use the Service.
2. Description of Service
Soluit.app is a multi-tenant SaaS platform that provides point-of-sale (POS) solutions, restaurant management, cash control, inventory, electronic invoicing, and business intelligence tools. The Service includes:
- SmartRest Elite — Advanced POS and management system for restaurants and the food service industry, including table mapping, digital ordering, KDS (Kitchen Display System), QR self-ordering, forensic intelligence, and blind cash reconciliation.
- SmartPOS — Agile point-of-sale system for retail and commerce, including cash control, real-time inventory, electronic invoicing, multi-branch management, and Z-reports.
Each client receives a dedicated business domain (e.g., yourbusiness.soluit.app) where their instance operates in an isolated and secure environment.
3. Registration and Accounts
3.1 Eligibility
To use the Service, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By registering, you warrant that the information provided is truthful and complete.
3.2 Access Credentials
You are responsible for maintaining the confidentiality of your access credentials (username and password). Any activity performed under your account is your responsibility. You must notify us immediately of any unauthorized use of your account.
3.3 Dedicated Business Domain
Upon registration, you will be assigned a dedicated subdomain under soluit.app. This subdomain is an integral part of the Service and does not constitute a property right over the domain. The Company reserves the right to reassign or modify subdomains in the event of a breach of these Terms.
4. License to Use
We grant you a non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms. This license is solely for legitimate commercial use within the scope of your business.
The following is expressly prohibited:
- Reverse engineering, decompiling, or disassembling any component of the Service.
- Redistributing, sublicensing, or reselling the Service without express authorization.
- Using the Service for illegal activities or activities that infringe upon the rights of third parties.
- Attempting to access data belonging to other tenants or clients of the Service.
- Modifying, adapting, or creating derivative works from the Service.
5. Intellectual Property
All intellectual property rights over the Service, including but not limited to: the "Elite 3DV2" design, software architecture, source code, user interfaces, logos, trademarks, documentation, and associated materials, belong exclusively to SoluitCR.
The trademarks "Soluit.app", "SmartRest Elite", "SmartPOS", "Elite 3DV2", and "SoluitCR" are the property of the Company and may not be used without prior written authorization.
6. Customer Data and Privacy
The privacy of your data is fundamental to us. Our collection and processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.
We emphasize that:
- Each tenant operates in an isolated environment (multi-tenant). Your business data is not accessible by other clients.
- Data is stored on secure cloud infrastructure with encryption in transit and at rest.
- We do not sell or share your business data with third parties.
- Automatic periodic backups are performed to protect the integrity of your data.
7. Service Availability
We strive to maintain monthly Service availability of 99.9%. However, we do not guarantee uninterrupted availability. The Service may experience interruptions due to:
- Scheduled maintenance (notified at least 48 hours in advance when possible).
- Force majeure events, floods, earthquakes, strikes, or other events beyond our control.
- Third-party infrastructure issues (cloud providers, telecommunications networks).
- Critical security updates requiring a restart.
The Service includes offline functionality that allows operation without an internet connection and automatic data synchronization once connectivity is restored.
8. Offline Functionality and PWA
The Service can be installed as a Progressive Web App (PWA) on compatible devices. Offline functionality allows:
- Recording orders and transactions without an active internet connection.
- Local data storage until synchronization with the server.
- Automatic synchronization queue (
offline_queue) that processes pending operations when connectivity is restored.
The Company is not liable for the loss of data stored exclusively on the user's device that has not been synchronized with the server.
9. Payments and Billing
9.1 Plans and Pricing
Plan pricing is published on our website and may be modified with 30 days' prior notice. Prices include applicable taxes under the current legislation of Costa Rica.
9.2 Trial Period
We may offer free trial periods. At the end of the trial period, the Service will be suspended unless a paid subscription is activated.
9.3 Renewal and Cancellation
Subscriptions renew automatically at the end of each billing period. You may cancel your subscription at any time from your account settings or by contacting us. Cancellation will take effect at the end of the current billing period.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied.
- The Company shall not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Service.
- The Company's total liability to you shall not exceed the amount paid by you in the 12 months preceding the event giving rise to the claim.
- We do not warrant that the Service will meet your specific requirements or that the results obtained will be accurate or reliable.
11. Indemnification
You agree to indemnify and hold harmless SoluitCR, its directors, employees, and business partners from any claim, loss, damage, cost, or expense (including legal fees) arising from your breach of these Terms or improper use of the Service.
12. Termination
We may suspend or terminate your access to the Service at any time if:
- You materially breach these Terms.
- You use the Service for illegal or fraudulent activities.
- You fail to make corresponding payments within the established timeframe.
Upon termination, your data will be available for export for a period of 30 days, after which it will be permanently deleted from our servers.
13. Modifications to the Terms
We reserve the right to modify these Terms at any time. Significant changes will be notified via email or through a visible notice in the Service with at least 15 days' prior notice. Continued use of the Service after the modifications take effect constitutes acceptance of the new Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Costa Rica. Any dispute arising from these Terms shall be submitted to the jurisdiction of the courts of Alajuela, Costa Rica.
